WELCOME3 NEW RIDER OFFER

These Promotional Terms and Conditions ("Promotional Terms") govern the WELCOME3 New Rider Offer (the "promotion") offered by Okly Pty Ltd (ABN 75 641 341 460) ("Okly", "we", "us", "our").

By creating an eligible Okly account during the Promotion Period or using a promotional discount, you agree to these Promotional Terms, the Okly Terms of Service and the Okly Privacy Policy.

1. Promotion

The WELCOME3 New Rider Offer provides eligible new Okly riders with:

  • their first eligible ride free, up to a maximum discount of $20;
  • 50% off their second eligible ride, up to a maximum discount of $10; and
  • 50% off their third eligible ride, up to a maximum discount of $10.

The maximum total promotional value available under this offer is $40.

The promotion is limited to the first 100 eligible new riders who successfully create an Okly rider account during the Promotion Period.

The promotion will be automatically applied to eligible new rider accounts when they sign up to Okly, while promotional places remain available. Riders do not need to manually enter a promotional code.

2. Promoter

This promotion is offered by:

Okly Pty Ltd (ABN 75 641 341 460)

Referred to in these terms as “Okly”, “we”, “us” or “our”.

3. Promotion Period and Availability

The promotion begins at 12:00 am Australian Eastern Standard Time on 17 July 2026.

The promotion ends at the earlier of:

  • the time at which the promotion has been allocated to 100 eligible new riders; or
  • 11:59 pm Australian Eastern Standard Time on 27 July 2026.

The offer is available only while promotional places remain.

To qualify, the rider must successfully create an eligible Okly rider account before the promotion ends and be one of the first 100 eligible new riders to have the promotion allocated to their account.

All three promotional rides must be booked and completed before 11:59 pm Australian Eastern Standard Time on 27 July 2026.

Any unused promotional discounts will automatically expire at that time.

4. Eligibility

To participate, a rider must:

  • be at least 18 years old;
  • create a new Okly rider account during the Promotion Period and while promotional places remain available;
  • be one of the first 100 eligible new riders to have the promotion allocated to their account;
  • have never previously completed a ride through Okly;
  • have never previously received or redeemed the WELCOME3 offer;
  • have a valid payment method connected to their Okly account;
  • book and complete eligible rides through the Okly app;
  • be located within an area currently serviced by Okly; and
  • comply with these promotional terms and Okly’s Rider Terms and Conditions.

Existing riders are not eligible, including riders who create another account using different contact or account information.

Creating an Okly account does not guarantee access to the promotion if all 100 promotional places have already been allocated.

5. Allocation and Automatic Activation

The WELCOME3 promotion will automatically be added to the accounts of the first 100 eligible new riders who successfully complete the Okly signup process during the Promotion Period.

No promotional code needs to be manually entered.

Promotional places will be allocated in chronological order based on the time each eligible account signup is successfully completed, as recorded by Okly’s systems.

A promotional place is considered allocated once the WELCOME3 offer has been successfully added to an eligible rider’s account.

Once allocated, the promotional place will count towards the 100 rider limit, whether or not the rider uses some or all of the promotional discounts.

An allocated place will not ordinarily be reassigned to another rider if the original recipient does not use the promotion.

The promotion being displayed in the rider’s account does not guarantee that every ride will qualify. Each ride must meet the eligibility requirements set out in these terms.

Promotional discounts will automatically apply sequentially to the rider’s first, second and third eligible completed rides.

A rider cannot skip a promotional discount or save it for a later ride.

6. One Offer Per Rider

The promotion is limited to one offer per eligible rider.

Okly may use information reasonably associated with a rider or account to determine eligibility, including:

  • name;
  • mobile phone number;
  • email address;
  • device information;
  • payment method;
  • account details;
  • previous accounts; and
  • previous Okly ride activity.

Creating multiple accounts, using another person’s account or payment method, or attempting to claim the promotion more than once is prohibited.

7. First Ride Discount

The rider’s first eligible completed ride will receive a discount equal to the eligible ride fare, up to a maximum discount of $20.

Where the eligible ride fare is:

  • $20 or less, the eligible ride fare will be reduced to $0; or
  • more than $20, the rider must pay the amount above $20, together with any excluded fees or charges.

Any unused portion of the $20 maximum discount will not carry over to another ride.

8. Second and Third Ride Discounts

The rider’s second and third eligible completed rides will each receive a discount equal to 50% of the eligible ride fare, up to a maximum discount of $10 per ride.

Where 50% of the eligible ride fare exceeds $10, the maximum discount applied will be $10.

The rider must pay the remaining ride fare and any excluded fees or charges using the payment method connected to their Okly account.

Unused promotional value will not carry over between rides.

9. Eligible Ride Fare

Unless otherwise stated in the Okly app, the promotion applies only to the eligible ride fare displayed when the rider books the ride.

The promotion does not apply to:

  • Victorian commercial passenger vehicle levies;
  • tolls;
  • airport fees or charges;
  • cancellation fees;
  • waiting time charges added after booking;
  • cleaning or damage charges;
  • tips;
  • fare adjustments caused by changes to the trip;
  • third party charges; or
  • any other charge identified by Okly as being excluded from promotional discounts.

The rider remains responsible for paying all amounts not covered by the promotion.

10. Eligible Rides

A ride is eligible where it:

  • is requested using the rider’s eligible Okly account;
  • is booked through the Okly app;
  • is accepted and completed through the Okly platform;
  • is booked and completed before the promotional discounts expire;
  • begins within an area currently serviced by Okly; and
  • complies with these terms and Okly’s Rider Terms and Conditions.

Rides arranged outside the Okly app are not eligible.

This promotion is subject to driver and service availability. Receiving the promotion does not guarantee that a driver will be available at a particular time or location.

11. Cancelled Rides

A ride cancelled before completion will not ordinarily count as one of the rider’s three promotional rides.

Any applicable cancellation fee will not be discounted.

Where a promotional discount is incorrectly consumed following a cancelled ride because of a technical error, the rider may contact Okly through the Help Centre in the Okly app.

Okly will investigate the issue and may restore the promotional entitlement where appropriate.

12. Fare Adjustments and Refunds

Promotional discounts:

  • have no cash value;
  • cannot be exchanged for cash;
  • cannot be transferred to another person or account;
  • cannot be sold or resold; and
  • cannot be converted into general Okly credit.

Where a ride fare is adjusted or refunded:

  • any refund will generally be based on the amount actually paid by the rider;
  • the promotional portion of the fare will not be refunded as cash;
  • Okly may restore the promotional entitlement where the ride was not properly provided or was cancelled for reasons outside the rider’s control; and
  • any restored promotional discount may remain subject to the original expiry date unless Okly advises otherwise.

Nothing in this section limits any rights the rider may have under the Australian Consumer Law.

13. Other Promotions

The WELCOME3 promotion cannot be combined with another promotional offer, discount, referral benefit, account credit or promotional code unless Okly expressly states otherwise.

Where more than one promotion is available, Okly may:

  • apply the promotion that provides the greatest available benefit;
  • apply promotions in a particular order; or
  • require the rider to select one available promotion.

The promotion cannot be applied retrospectively to a ride completed before the rider became eligible.

14. Misuse and Fraud

Okly may refuse, suspend, reverse or cancel a promotional discount where it reasonably believes that:

  • the rider is not eligible;
  • multiple accounts have been created to obtain additional discounts;
  • false, incomplete or misleading information has been provided;
  • the rider has attempted to manipulate the promotion;
  • a ride was arranged primarily to obtain promotional value rather than genuine transportation;
  • the rider, driver or another person has engaged in collusive, fraudulent or abusive conduct;
  • the rider has improperly used another person’s identity, account or payment method; or
  • the rider has breached these terms or Okly’s Rider Terms and Conditions.

Okly may request reasonable information to confirm eligibility.

A rider may request a review of a decision to remove or withhold a promotional benefit through the Help Centre in the Okly app.

15. Technical Issues

Okly is not responsible for a rider’s inability to use the promotion due to circumstances outside Okly’s reasonable control, including:

  • internet or mobile network failure;
  • an incompatible or unsupported device;
  • failure to install or update the Okly app;
  • inaccurate signup or account information;
  • payment method failure; or
  • temporary service interruptions.

Where an error caused by Okly prevents an otherwise eligible rider from receiving the promotion, Okly may provide an equivalent discount or account credit after investigating the issue.

If a technical issue affects the order in which promotional places are allocated, Okly may determine the allocation order using its available system records and other reasonable evidence.

16. Changes to the Promotion

To the extent permitted by law, Okly may amend, suspend or withdraw the promotion where reasonably necessary because of:

  • fraud or widespread misuse;
  • technical or system errors;
  • events outside Okly’s reasonable control;
  • legal or regulatory requirements; or
  • circumstances that prevent the promotion from operating as intended.

Any change will not remove a promotional discount already validly applied to a completed ride.

Material changes will be communicated through the Okly app, Okly website or another reasonable communication channel.

17. Rider Terms and Privacy

Participation in this promotion is also subject to:

  • Okly’s Rider Terms and Conditions; and
  • Okly’s Privacy Policy.

If there is an inconsistency between these promotional terms and Okly’s Rider Terms and Conditions, these promotional terms will apply only to the operation of this promotion.

Personal information collected in connection with the promotion will be managed in accordance with Okly’s Privacy Policy and applicable privacy laws.

18. Australian Consumer Law

Nothing in these promotional terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.

Any rights provided under this promotion are in addition to the rider’s rights under applicable consumer law.

19. Help and Complaints

Questions, technical issues or complaints relating to the promotion must be submitted through the Help Centre in the Okly app.

The rider should provide:

  • their name;
  • the mobile number associated with their Okly account;
  • the relevant ride details; and
  • a description of the issue.

Okly may request further information where reasonably required to investigate the matter.

20. Governing Law

These promotional terms are governed by the laws of Victoria, Australia.

The parties submit to the courts and tribunals having jurisdiction in Victoria, without limiting any rights a consumer may have under applicable law.

21. Acceptance

By creating an eligible Okly account during the Promotion Period or using a promotional discount, the rider confirms that they have read, understood and agreed to these promotional terms.
